Agreement
These Terms of Service (“Terms”) form a binding agreement between you (“Customer” or “you”) and Mariete (“Mariete”, “we” or “us”) governing your access to and use of our platform, products, websites and services (together, the “Services”).
By creating an account, accepting an order form, or using the Services, you agree to these Terms. If you accept on behalf of a company or other entity, you represent that you have authority to bind that entity. Enterprise agreements may be governed by a separate master services agreement (MSA) that supersedes these Terms.
The Service
Mariete provides a platform of specialist AI agents that operate on customer-supplied data and instructions. The Services include the runtime, integrations, administrative tools and customer support offered on our standard commercial terms.
We continually improve the Services. We may add, change or remove features, and we will not materially degrade the Services during a paid subscription term without providing reasonable notice.
Accounts and access
You are responsible for your account credentials and for all activity that occurs under your account. Workspace administrators are responsible for assigning roles, managing access and enforcing acceptable use within their tenant.
You must provide accurate registration information and keep it up to date. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
Acceptable use
You agree not to use the Services to:
- Violate any law or the rights of others;
- Infringe intellectual property, privacy or publicity rights;
- Generate content intended to deceive, defraud or impersonate;
- Create or distribute malicious code, spam or unsolicited communications;
- Probe, scan, reverse-engineer or circumvent the Services’ security;
- Interfere with or disrupt the Services, or systems connected to them;
- Use the Services to build a competing product or to train a machine-learning model;
- Submit content that is harmful, hateful, harassing, or sexually explicit content involving minors.
We may suspend or terminate access for material or repeated violations. Where possible, we will notify you before doing so.
Subscriptions, fees and billing
Paid Services are sold on a subscription basis with the term, fees, seats and usage caps specified in your order form or self-serve selection. Fees are payable in advance and are non-refundable except as required by law or as stated in your agreement.
Subscriptions renew automatically unless cancelled before the renewal date. Self-serve plans may be cancelled in-product at any time; the cancellation takes effect at the end of the current billing cycle. Usage-based charges accrue in arrears and are invoiced monthly.
Taxes are additional where applicable. If any fee is not paid when due, we may suspend access on reasonable notice until payment is received.
Customer data
As between you and Mariete, you retain all right, title and interest in Customer data, including prompts, documents, configurations, connected sources and agent outputs generated on your behalf. You grant Mariete a limited licence to host, process and transmit Customer data solely to provide the Services.
We do not use Customer data to train foundation models. Enterprise customers may negotiate additional data-handling terms, including zero-retention routing, private model endpoints and regional data residency.
Intellectual property
The Services, including the platform, runtime, agent designs, documentation and marks, are owned by Mariete and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription term, subject to payment and compliance.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Services. No other rights are granted by implication, estoppel or otherwise.
Confidentiality
Each party may receive information from the other that is confidential. The receiving party will protect such information using at least the same degree of care it uses to protect its own confidential information, and will use it only to perform under these Terms. Confidentiality obligations do not apply to information that is publicly available, was lawfully known before receipt, or is required to be disclosed by law.
Third-party services
The Services may integrate with third-party services you choose to connect. Your use of those services is governed by their own terms, not by these Terms. We are not responsible for the availability, accuracy or acts of any third-party service. You authorise us to transmit data to and from those services as required for the integration to function.
Warranties and disclaimers
We warrant that we will provide the Services with reasonable skill and care, in accordance with the documentation. Except as expressly set out here, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement.
AI outputs are generated by statistical models and may be inaccurate, incomplete or inappropriate for a given use. You are responsible for reviewing outputs before relying on them, particularly for regulated or high-stakes decisions.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue, data or business opportunity, even if advised of the possibility.
Each party’s aggregate liability under these Terms will not exceed the fees paid or payable by you to Mariete in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to liability that cannot be excluded by law, or to breaches of confidentiality, indemnity obligations or intellectual-property rights.
Indemnification
You will defend and indemnify Mariete against third-party claims arising from your use of the Services in violation of these Terms, applicable law or the rights of others, and from Customer data we process on your behalf. Mariete will defend and indemnify you against third-party claims alleging that the Services, used as permitted, infringe intellectual-property rights, subject to customary carve-outs.
Term and termination
These Terms remain in effect while you use the Services. Either party may terminate a subscription for material breach not cured within thirty (30) days of written notice. You may cancel a self-serve subscription in-product at any time.
On termination, your right to use the Services ends and we will return or delete Customer data in accordance with your agreement. Provisions that by their nature should survive termination will do so — including IP, confidentiality, indemnity, liability and law.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction specified in your order form or, absent a specification, the jurisdiction of Mariete’s primary place of business. The parties submit to the exclusive jurisdiction of the courts in that jurisdiction for any dispute arising out of or relating to these Terms, except that either party may seek equitable relief in any competent court to protect its intellectual property or confidential information.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — through the product, by email, or by updating the “Last updated” date at the top of this page. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
